Terms of use and intermediation service
1. Purpose and acceptance
These terms of use and intermediation service (the “Terms”) govern use of the website and Ligokero's service for private sellers. Browsing alone does not amount to acceptance of a paid contract. The intermediation contract is formed when the seller signs the mandate using Ligokero's secure electronic signature; the version accepted on that date remains applicable to the file.
2. Ligokero's role
Ligokero centralises and qualifies requests, consults selected professionals, collects their proposals and presents them to the seller. Ligokero acts solely as an intermediary: it is not a buyer, seller, reseller, expert, auctioneer or custodian. No item is handed over, entrusted or shipped to Ligokero, and no offer is guaranteed.
3. Eligibility
The service is reserved for legally capable persons aged eighteen or over who own the items or are validly authorised to sell them. A co-owner, representative or agent warrants that all necessary authorisations have been obtained. Users must provide accurate, complete and current information and must not use the website fraudulently, abusively or through automation.
4. Mandate
No partner is consulted before the mandate is electronically signed. The mandate is non-exclusive, lasts six months and may be terminated at any time in writing. Termination does not affect commissions already earned on a completed sale or the limited survival of the non-circumvention clause below. The mandate authorises intermediation but never obliges the seller to accept an offer.
5. Partner selection and offers
Partners are selected according to specialisation, service area, availability and compliance. The “best offer” means the best proposal received from the partners actually consulted, not the best offer across the whole market. The partner commission gives no preferential ranking.
Before physical appraisal, offers are indicative and conditional. Each offer states its validity period. It may be changed or withdrawn only because of an objective difference found during appraisal, including condition, conformity or authenticity. The seller remains free to refuse any proposal.
6. Appraisal and custody
Appraisal is the professional buyer's responsibility. Ligokero does not authenticate items. The seller retains custody until physical handover; the professional then assumes custody under the handover record. Ligokero never has custody.
7. Price and commissions
The request, website use and receipt of proposals are free. No commission is due unless a sale is completed and paid.
- Item price: 100% of the gross purchase price is owed to the seller by the professional.
- Seller commission: 10% including tax of the gross price, or 8% for a sale eligible for the Referral benefit. Under the mandate, the seller instructs the professional to pay this portion directly to Ligokero and the balance to the seller. That payment discharges the professional to the same extent.
- Partner commission: 5% excl. VAT of the gross price, invoiced in addition to the professional.
The seller's net amount and commissions are shown before acceptance. After the sale, Ligokero issues the invoices and allocation receipt relating to the single payment made through Stripe.
8. Additional items
Commissions apply to additional items only where they were actually presented, examined, negotiated or sold in connection with the Ligokero appointment. Before completion, a summary or record states each item's description, gross price, rate, commission and seller's net amount. The seller's acceptance extends the mandate to those items. The parties' declarations may be verified by Ligokero if they differ.
9. Non-circumvention
For twelve months after the introduction, the seller and professional must not circumvent Ligokero for a transaction with the introduced professional concerning the initial item or additional items connected with the appointment. Demonstrable pre-existing relationships and unrelated transactions are excluded.
A commission is due only for a proven transaction within this scope. Ligokero may not obtain double recovery for the same loss.
10. Cancellation and rescheduling
The seller and professional must inform Ligokero promptly of cancellation or rescheduling. No commission is charged following cancellation or where no paid sale occurs.
11. Right of withdrawal
A consumer seller has fourteen days from signing the mandate to withdraw without giving a reason, by an unambiguous statement or the form in the appendix. The seller may expressly request performance before that period ends. The right is lost only after full performance where the seller expressly requested it and acknowledged that consequence. No fee is due if withdrawal occurs before a sale is completed and paid.
12. Authenticity and provenance
The seller warrants lawful ownership, authority to sell, authenticity and lawful provenance. Counterfeit, stolen or unlawful items are prohibited and may be reported.
13. Limitation of liability
Ligokero is bound by an obligation of means and not of result. In particular, Ligokero does not guarantee:
- that an offer will be made for a given item, nor the level of the offers received;
- the accuracy of the estimate ranges displayed on the website, which are purely indicative and constitute neither an offer nor an expert appraisal;
- the proper performance of the transaction by the professional buyer or by the seller, Ligokero not being a party to the sale contract.
Ligokero cannot be held liable for indirect damages (loss of opportunity, loss of profit, commercial loss). Except in the case of gross negligence or wilful misconduct and within the limits permitted by law, Ligokero's liability, on all grounds combined, is limited to the amount of the commissions actually received by Ligokero in respect of the file concerned.
Ligokero cannot be held liable for a temporary unavailability of the website, nor for the acts of a third party or an event of force majeure. These limitations do not apply to the rights granted to consumers on a mandatory basis by law.
14. Personal data and cookies
Processing is described in the privacy policy and cookie policy.
15. Changes to the Terms
Future changes are not retroactive: the contractual version accepted at signature remains applicable to the file unless the parties agree otherwise or mandatory law requires it.
16. Complaints, mediation and governing law
Complaints may be sent to contact@ligokero.com.
In accordance with the French Consumer Code provisions on consumer dispute mediation, after contacting us and failing a satisfactory response, you may refer the matter free of charge to a consumer mediation procedure with:
